For Growing Businesses
Strategic legal counsel for individuals and businesses navigating the Bitcoin space. From corporate treasury and business acceptance to transaction structure and long-horizon strategy, we help you make sound, informed decisions in a landscape that never stops changing.

Bitcoin isn't traditional currency. It isn't a traditional asset. The rules are still being written, the guidance shifts often, and the IRS, SEC, FinCEN, and state regulators each see it a little differently. That's before you get to the practical questions: custody, counterparty risk, structuring, succession, and how to transact without making a costly mistake.
Whether you're already in Bitcoin or seriously considering it, you don't need a lawyer who's curious. You need one who's already done the work.

WHAT WE DO

We provide subject matter guidance and strategic counsel across the issues that come up for individuals and businesses operating in the Bitcoin space. Engagements are scoped, focused, and built around what you actually need, not a generic retainer.
Common areas of work include:
Plain-English guidance on the regulatory landscape, custody considerations, counterparty risk, and how Bitcoin fits, or doesn't, into a broader strategy.
For companies exploring whether and how to hold Bitcoin on their balance sheet or accept it as payment, including the legal, contractual, and operational questions that come with it.
Contract review and drafting for Bitcoin-related transactions, OTC arrangements, and commercial agreements involving digital assets.
Corporate structure, governance, and policy work for Bitcoin-focused ventures, or for traditional businesses adding Bitcoin exposure.
When a matter requires specialists outside our scope, such as tax counsel, custodians, exchanges, or registered advisors, we help coordinate the right people around your situation.
with meaningful Bitcoin holdings, or those building toward them, looking for strategic legal counsel from someone who understands the asset.
evaluating how Bitcoin fits into corporate treasury, payments, or long-term strategy.
that need legal counsel from someone who already speaks the language.
seeking a knowledgeable second voice on Bitcoin-related matters for their clients.
We are brilliant at the 80% of Bitcoin legal challenges businesses and investors face most often, and we are honest about the 20% that belongs in someone else's hands. That's how we work, and it's the difference clients notice.
Tom Nichols leads our Bitcoin practice. He's a practicing attorney with prior in-house experience as Associate General Counsel at Isagenix and Chief Legal Officer at Seacret Direct. Before law, he held Series 7 and 66 securities licenses while working in finance, lending, and real estate at firms including American Express, E-Trade, Bank of America, and New England Financial.
That cross-disciplinary background across finance, securities, lending, and corporate law, combined with years as an active Bitcoiner, is rare in any law firm. It's the kind of perspective Bitcoin work actually requires.
We're also direct about where we don't operate. We're not your tax attorney, your registered investment advisor, or your CPA, and for matters that require those specialists, we'll tell you. What we offer is strategic legal counsel and advisory work, scoped honestly, from someone who genuinely understands the space.
No. Our HOA and real estate practices are Arizona-focused, but our Bitcoin practice serves clients nationally and internationally. Bitcoin doesn't respect borders, and neither does the work we do around it. Engagements are taken on a case-by-case basis.
Bitcoin, specifically. We don't market ourselves as generalist "crypto" or "digital asset" counsel, and we don't chase trends in altcoins, meme coins, or token issuances. Our perspective is grounded in Bitcoin.
Tax planning and tax filings should sit with a qualified CPA or tax attorney. We can talk through the legal and structural questions, and we can help coordinate with tax professionals you already work with, or make an introduction if needed.
No. We don't provide investment advice, manage assets, or recommend allocations. Investment decisions stay with you and your registered advisors. Our work is legal counsel and strategic advisory, separate and distinct from investment advice.
With a conversation. We want to understand the situation, what you're trying to accomplish, and whether we're genuinely the right fit. If we are, we'll scope the engagement and put it in writing. If we're not, we'll say so.
Whether you're sizing up a strategy, structuring a transaction, or just want a knowledgeable second voice, we're happy to talk.
